Are these boxes water proof?

Not hardly, if you go under water, kill the motor before it kills your wallet..

Is anyone runing or knows if we can run the CFM Airbox and the Trx400 rear shock ?

Yeah, I asked the same question before I got it and the answer is yes. It fits right around the shock, almost like it's built to fit it. It's great. The box is awesome by the way. Between the CFM box and the Dynoport Big Volume, my blaster sounds like a completely different, mean machine.

Good to know about the sound... Love the shout of a fine tuned 2stroker !!
